| Olympus aims to provide its customers with products that fully meet or exceed their expectations. In doing so, we discipline ourselves to comply with the laws, regulations, and social norms of the countries and regions of the world in which we operate (specifically including laws, standards, or conventions concerning the prohibition of child labor and forced labor, prohibition of discrimination based on unreasonable grounds, anti-corruption, and maintenance of safe and clean working environments), carry out sound corporate activities and behave in a manner that is in accordance with laws, regulations, and social norms. We would therefore expect you to do the same in those countries and regions where you operate and to execute the appropriate management necessary to comply with this requirement. |

| 2. Environmental Consideration |
| Olympus takes the protection of the global environment as one of its critical management tasks and strives to contribute to the development of a sustainable society by delivering environmentally conscious products to consumers. To this end, the parts and raw materials that constitute our products must be properly managed by suppliers at the source stage, namely procurement activities or production processes. In addition, we have developed the Olympus Green Procurement Guideline as a focus for our efforts to reduce any negative environmental impact in cooperation with our suppliers. We have already begun our efforts in accordance with this guideline in Japan and some other parts of Asia and intend to do so in other countries and regions in the future. We would like you to promote the following environmental protection activities so that together we can create products that are not harmful to the global environment. |

| Olympus opens its doors wide to suppliers who can develop mutual understanding and trust. We carry out fair and appropriate procurement activities based on our policies and procedures disclosed to the suppliers. Suppliers are also requested to follow our policies and procedures. |

| 4. High Level of Quality, Safety and Stable Supply |
| The quality of parts and raw materials provided by our suppliers has a significant impact on the performance of our products and can affect their safety depending on the situation. The high level of safety and quality of parts and raw materials is made possible by suppliers that apply appropriate quality assurance efforts. You are requested to understand and carry out the following principles so that we may maintain or improve the high quality of products we provide to customers: |

| 5. Stable Management Base |
| Olympus and its suppliers need to have a sound and stable management base to realize continuous transactions between them. You are requested to disclose your management policies and conditions, including financial status, before starting a long term business relationship and within a certain lapse of time thereafter. |

| 6. Excellent Technical Capability |
| To provide customers with safe and excellent products that can satisfy their needs, we would like suppliers to be committed to continuously improving their technical capabilities. |

| 7. Appropriate Information Protection |
| With respect to trade with Olympus, suppliers can access and obtain Olympus' corporate information, such as its know-how or classified information, as well as the classified or private information Olympus has on others. You are requested to strictly safeguard the information you have accessed through your business dealings with us to prevent any leak or disclosure to unauthorised personnel or outsiders. |

| 8. Respect of Intellectual Property |
| Olympus protects its own intellectual property and respects those of others, strictly avoiding any illegal use or violation thereof. Our suppliers' inappropriate or illegal use or violation may be suspected as Olympus' conduct. Considering these correlational implications, you are requested to respect the intellectual properties of other parties and refrain from any illegal use or violation of them. |

| 9. Designated Delivery Date |
| From time to time we have to change our production schedule according to the market or customer request. Our suppliers need to be flexible to cope with such situations as well. You are therefore requested to keep an open line of communication with us so that there will be a high level of flexibility in your own production and supply system and timely delivery will be possible as required. |

| 10. Appropriate Pricing |
| The prices of parts and raw materials provided by our suppliers have a big impact on the price competitiveness of our products. To deliver products that can satisfy our customers in terms of price, we would like to ask you to supply us with parts and raw materials at highly market-competitive prices and continuously strive to reduce prices. |

| 11. Prohibition of the Acceptance of Private Interests |
| Olympus strictly prohibits any of its employees from accepting any improper private gift, benefit, or entertainment from suppliers or prospective suppliers. We will accept no such offerings from suppliers and you are requested to refrain from it. Following are some examples of conduct Olympus considers improper:
